It is unclear if the FTC will try to stop the transaction or when a decision would be reached.
"Kroger and the FTC are focused on ensuring that any divested stores are positioned for success," the company said in a statement.
Between them, Kroger and Albertsons operate nearly 5,000 stores with more than 800 in California.
FTC staff spoke with the group in April.
